TERMS OF SERVICE

1. Platform Access and Authorization

Access to the MyMatchMerch platform is strictly contingent upon the possession of a valid, authorized invitation code. The Platform operates as an exclusive, closed-network environment. We reserve the unequivocal right to reject applications, revoke access, or invalidate invitation codes at our sole discretion, with or without cause.

2. Intellectual Property, Representations, and Warranties

By uploading digital assets, designs, or artwork ("Content") to the Platform, the Creator expressly represents and warrants that they possess full legal title, copyright, and/or necessary commercial licensing to utilize said Content. The Creator retains all underlying intellectual property rights.

However, the Creator hereby grants MyMatchMerch a non-exclusive, worldwide, royalty-free, sublicensable license to host, render, display, and transmit the Content to our third-party printing partners strictly for the manufacturing and fulfillment of authorized merchandise orders. The uploading of unauthorized, copyrighted, trademarked, or legally restricted material constitutes a material breach of these Terms and will result in immediate account termination.

3. Remuneration, Fee Structure, and Payouts

MyMatchMerch operates as a technological intermediary facilitating transactions between the Creator, the consumer, and the third-party printing partner.

• Pricing: The Creator dictates the final retail price of their merchandise.
• Fee Schedule: The Platform shall deduct the following from the gross retail transaction: (i) the base manufacturing cost levied by our printing partner, (ii) a fixed platform service fee of $5.00 USD, and (iii) a 5% transaction processing fee.
• Net Proceeds: The finalized net profit, as calculated and displayed dynamically within the Creator dashboard prior to publishing, shall be the sole amount owed to the Creator.
• Disbursements: All net proceeds shall be routed automatically via our authorized payment processor (Stripe Connect). We disclaim liability for delayed payouts resulting from the Creator's failure to maintain a compliant Stripe account.

4. Order Fulfillment, Returns, and Statutory Rights

All physical merchandise is manufactured strictly on-demand by our third-party printing partners. Consequently, all sales are deemed final. Refunds, returns, or exchanges are expressly prohibited, save for instances involving materially defective items or verifiable manufacturing errors. Claims regarding defects must be submitted in writing within fourteen (14) days of confirmed delivery.

5. Indemnification and Limitation of Liability

The Creator agrees to indemnify, defend, and hold harmless MyMatchMerch, its officers, directors, and fulfillment partners from any claims, damages, liabilities, or expenses (including legal fees) arising from intellectual property infringement claims related to the Creator's uploaded Content.

6. Termination for Breach

We reserve the right to immediately suspend or terminate any storefront that violates these Terms, exhibits abnormal chargeback ratios, or engages in suspected fraudulent activity. Upon termination, any undisputed, legally earned funds shall be disbursed to the Creator, net of any applicable chargeback penalties, platform fees, or legal holds.
